These terms govern your use of nitido.in and the services provided by Nítido (“we”, “us”) to you (“you”, “the client”). By using this site or engaging us, you agree to them. If a signed proposal or agreement says something different, the signed document wins for that engagement.

1. Our services

We provide digital marketing services to businesses, including branding, content creation, social media management, paid advertising management, website design and maintenance, local search and Google Business Profile management, and related digital work. The exact scope, deliverables, timeline and fees for each engagement are set out in a written proposal or statement of work (“proposal”) that you accept in writing, including by email.

Work outside the agreed scope is quoted separately and starts only after you approve it.

2. What we need from you

  • Accurate information about your business, and timely answers, approvals and materials. Delays on your side move our timelines by the same amount.
  • Access to the accounts we manage, granted through each platform’s own sharing or partner tools wherever possible.
  • Confirmation that you own or have permission to use everything you give us (logos, photographs, text, music, customer testimonials), and that your products, offers and claims are lawful and true.
  • Compliance with the terms of the platforms we use for you, such as Google and Meta.

3. Fees and payment

  • Fees, payment schedule and any advance are set out in your proposal. Prices are in Indian rupees and exclude GST, which is added where applicable.
  • Invoices are payable within the period stated on them. If a payment is overdue, we may pause work until it is cleared, after telling you in writing.
  • Monthly services are billed in advance for each month.
  • Advertising spend is paid by you directly to the ad platform from your own ad account, and is separate from our fees, unless your proposal says otherwise.
  • Refunds and cancellations follow our refund and cancellation policy.

4. Ownership

  • Your accounts stay yours. Your Google Business Profile, social media accounts, ad accounts, domain and website hosting remain in your name and under your control.
  • Deliverables. When you have paid in full for a deliverable, we assign to you the rights we hold in the final version of it. Drafts, unused concepts and rejected options remain ours unless your proposal says otherwise.
  • Third-party material such as fonts, stock media, music and software is licensed to you on its owner’s terms, which we will tell you about.
  • Our tools. Our methods, templates, software, prompts and know-how remain ours. Nothing in these terms transfers them to you.
  • Portfolio. We may show work we made for you in our portfolio and case studies only with your written permission, and never with confidential information.

5. Use of AI

We use artificial intelligence tools in research, writing, design and editing. A person at Nítido reviews every deliverable before it reaches you or the public. How we do this, and the limits we keep, are set out on our AI use page, which forms part of these terms.

6. Results

Marketing results depend on many things outside our control, including platform algorithms, competition, your product, pricing and service, and market conditions. We commit to doing the agreed work, on time and to a professional standard, and to reporting results honestly. We do not guarantee any specific number of followers, leads, sales, rankings or return on ad spend, and nothing we say should be read as such a guarantee unless it is written into your proposal as one.

7. Confidentiality

Each of us will keep the other’s non-public business information confidential, use it only for the engagement, and protect it with reasonable care. This does not cover information that is already public, independently developed, or required to be disclosed by law. This obligation continues for two years after the engagement ends. How we handle personal data is set out in our privacy policy.

8. Liability

  • To the extent the law allows, our total liability to you for any claim arising out of an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.
  • Neither of us is liable for indirect or consequential losses, such as lost profits, lost data or lost business opportunities.
  • We are not responsible for actions taken by platforms (for example an ad rejection, account restriction or algorithm change), except where caused by our breach of these terms.
  • You will indemnify us against claims arising from material you supplied or from your products, offers or claims.
  • Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

9. Term and termination

  • One-off projects end when the agreed deliverables are delivered and paid for.
  • Monthly services continue until either of us ends them with 30 days written notice, after any minimum term stated in your proposal.
  • Either of us may end an engagement immediately if the other materially breaches these terms and does not fix the breach within 15 days of written notice.
  • When an engagement ends, you pay for work done up to that date, we hand over final deliverables you have paid for, and we remove our access to your accounts.

10. Using this website

The content of nitido.in is provided for general information. You may not copy, scrape or reuse it for commercial purposes without our permission, attempt to disrupt the site, or use it for anything unlawful. Links to other websites are provided for convenience; we are not responsible for their content.

11. Governing law and disputes

These terms are governed by the laws of India. We will first try to resolve any dispute by talking in good faith for 30 days. If that fails, the courts at Gandhinagar, Gujarat have exclusive jurisdiction.

12. General

Neither of us is responsible for delays caused by events beyond reasonable control. If any part of these terms is found unenforceable, the rest continues to apply. We may update these terms; changes apply to engagements that start after the date at the top of this page. Notices must be in writing, and email is enough.
